Engine Software License
This license is between CryptoGenie LLC, doing business as Genie Trades ("we", "us"), and the person who buys a Bot Build from us ("you"). It covers the Engine only: the trading software your Strategy Module runs inside. Your own Rules Spec and Strategy Module belong to you and are covered by the Bot Build Agreement.
1. What the Engine is
The Engine is software we wrote. It connects to your Interactive Brokers account through Interactive Brokers' Gateway program on your own computer, applies safety limits, keeps logs, shows a local dashboard and runs your Strategy Module. We deliver it to you as installed files. It may include open-source parts, which keep their own licenses. A list is included in the install.
2. Your license
When you have paid for your build in full, we give you a license to use the Engine that is:
- non-exclusive: we can license it to others;
- non-transferable: you cannot pass it to anyone else;
- not sublicensable: you cannot give anyone else rights under it;
- limited: for your own trading accounts only, on the computer we installed it on (or a replacement computer you tell us about), for your own strategy.
The license lasts for as long as you follow it. There is no end date.
3. What you cannot do
- Sell, rent, lease, lend, share, give away or publish the Engine or any part of it.
- Use the Engine for anyone else's money, or to run a trading service, signal service, copy-trading service or managed account for anyone.
- Use the Engine in an account that is not yours.
- Copy the Engine to more machines than the license covers.
- Take apart, decompile or reverse-engineer the Engine, or remove or get around the license check, except where the law gives you that right regardless.
- Remove our name, notices or the safety limits' built-in warnings.
- Use data, keys or accounts that belong to us. We never provide them.
- Feed Genie Trades Discord content or any of our own bots' settings into the Engine. Our End User License Agreement also forbids this.
4. Who owns what
We own the Engine, our templates, our tools and all rights in them. You own your Rules Spec and your Strategy Module. Nothing here transfers ownership of the Engine to you. The way your Strategy Module connects to the Engine is part of the Engine. You may not use your Strategy Module with any other trading software that copies the Engine's interface.
5. The license check, and why it fails open
The Engine checks from time to time that your license is valid. The check sends only your license key, a one-way scrambled version of a machine ID, and the Engine's version number. It sends no account numbers, no logins, no trades and no positions.
The check is built so that a problem with it can never put you in danger. In particular, a license problem, a lost connection to our license server, or our license server being down:
- never cancels a stop or any other order you already have at your Broker;
- never blocks an exit or the closing of a position;
- never stops a trading day that is already running.
The only thing that can happen is that the Bot will not make a fresh start while it is flat (holding nothing), and only after a grace period of 14 days since the last good check. If your license is valid, nothing happens at all.
6. Updates
We give updates as signed install packages. You choose when to install them. The installer refuses to run during market hours or while a position is open, runs tests, and keeps a way to go back. There are no automatic updates. Updates are covered by the optional maintenance plan; without it, updates are ours to offer but not promised.
7. No warranty
The Engine is provided "as is", except for the 30 days of bug fixes in the Bot Build Agreement. As far as the law allows, we make no other promises, including that the Engine will be error-free, uninterrupted, fast, accurate or right for your goals. The Engine does not decide to trade. Your Rules Spec does. See the Automated Trading Risk Disclosure.
8. Limits on our liability
As far as the law allows, we are not responsible for trading losses or for lost profits, lost data, or indirect, incidental, special or consequential damages. Our total liability for any claim about the Engine is limited as set out in the Bot Build Agreement. Some places do not allow some of these limits, so they may not all apply to you.
9. Ending the license
We can end this license right away if you break section 3, share your Broker login with us or anyone, or if a payment for your build is reversed (for example by a bank dispute) after we have told you and you have not fixed it within 14 days.
When the license ends:
- you stop using the Engine and delete it;
- the fail-open promise in section 5 still applies to any trading day or position that is already open;
- you keep your Rules Spec and your Strategy Module.
10. Law and disputes
Wyoming law governs this license, without regard to its conflict of law rules. Disputes are handled as in the Bot Build Agreement: please email us first; after 30 days, either of us may go to the state or federal courts in Laramie County, Wyoming.
11. The rest
If any part cannot be enforced, the rest still applies. You cannot transfer this license. We can, if our business is sold or reorganized. This license, the Bot Build Agreement and the Automated Trading Risk Disclosure are the whole deal for the Engine. Questions? Email [email protected].
