Bot Build Agreement
This agreement is between CryptoGenie LLC, doing business as Genie Trades ("we", "us"), a Wyoming limited liability company at 1621 Central Ave, Cheyenne, WY 82001, United States, and the person who buys a Bot Build from us ("you"). It covers one custom trading bot, built from your own written rules. It is separate from any Genie Trades Discord membership. You do not need a membership to buy a build, and buying a build does not give you Discord access.
1. The short version
- You bring the rules. We write the code. You decide whether and how to use it.
- You sign a numbered list of rules (the "Rules Spec") before we write anything. We build exactly that list.
- You place and own every trade. We never hold your broker login, and we never run or watch your bot.
- We do not give investment advice. We do not promise results.
2. Words we use
- Rules Spec: the numbered list of exact rules you sign off before work starts (section 4).
- Strategy Module: the code we write to carry out your Rules Spec.
- Engine: our trading software that your Strategy Module runs inside. It talks to your broker, applies safety limits, keeps logs and shows a local dashboard. It is licensed to you under the Engine Software License.
- Broker: Interactive Brokers, the only broker we support. Your account there is yours.
- Bot: your Strategy Module running inside the Engine on your machine.
- Paper account: a practice account at your Broker that uses pretend money.
- Paper Acceptance: the test in section 9.
- Handover: the moment you switch the Bot from your Paper account to your live account (section 10).
3. What we build, and what we don't
We build one Bot for US-listed stocks and ETFs, using shares or options, for your Interactive Brokers account, to run on your own Windows computer or server. What is in the Bot is only what the signed Rules Spec says. Anything not in the Rules Spec is not included. We do not build for futures, crypto or other brokers.
If you want a change after you sign the Rules Spec, that is a change request. It needs a new, signed version of the Rules Spec and is paid extra (section 14).
4. The Rules Spec
- We ask you questions until every rule is exact: what starts a trade, what ends it, which instruments, which times, which sizes, which safety limits.
- We write your answers down as numbered rules (Rule 1, Rule 2 and so on) in your words as closely as we can.
- A rule that needs judgment ("buy when it looks strong") cannot be coded. We will not guess what you meant. You either make it exact or we leave it out.
- We may point out a logic error, for example a stop that sits on the wrong side of the entry. We do not say what the rule should be instead.
- Nothing starts until you sign the Rules Spec. Your signature means the list is complete and is what you want.
- Every number in the Rules Spec (sizes, stops, targets, limits, tickers, times) is chosen by you.
5. Your rules and decisions are yours
- The strategy is yours. You came up with it. We did not.
- You choose whether to use the Bot, with which account, in which markets, at what size, and when to stop it.
- You place every trade, in the sense that the Bot only does what your signed rules say, in your account, on your machine, under your login. We do not decide to trade.
- You are responsible for every trade the Bot makes and for every result, good or bad.
6. No advice
We write software. We are not your investment adviser, broker or financial planner, and we are not acting as one.
- We do not recommend rules, settings, tickers, sizes, strategies or whether to trade.
- We do not fit anything to your account size, goals or risk comfort.
- We do not pick "the best" settings for you. If you ask us to run tests over a range you chose, we show you all of the results and you choose. We never rank them for you.
- We list standard building blocks (types of stops, types of exits, ways to pick an option contract) neutrally. We do not say which is better.
- We explain how a feature works. We report backtest facts and the assumptions behind them.
- We never log in to, run, watch or adjust your account.
- We never say or hint at what any Bot, ours or anyone's, has earned or will earn.
If you ask us for advice, we will say no and point you back to your own rules. If you keep asking, we may stop work and refund you under section 12.
7. What we refuse to use as inputs
We will not build, and will not allow in your Bot:
- any Genie Trades Discord alert, game plan, wrap, card or other member content as a trading input (for example, "trade the morning cards"). Our End User License Agreement already forbids this, and we say it again here;
- any setting, rule or threshold from our own trading bots;
- signals or instructions from other buyers, from us, or from any third-party service.
Your Bot trades only on your Rules Spec and on market data you license yourself.
8. Your broker account, login and trades
- You open and fund your own Interactive Brokers account. Its terms are between you and your Broker. You must follow them.
- You never share your Broker login, password, security codes or phone approvals with us. Not during setup, not for support, not ever. If you share them, we may stop work and the build or support can end.
- You type your own login yourself, on your own machine, including the weekly login and phone approval Interactive Brokers requires. The Bot waits until you have done it.
- During setup we join you over a screen share. We do not record it unless you agree in writing. Please close other windows and do not type passwords while we are watching the screen you are sharing.
- We never operate your Bot. We do not start it, stop it, change it or watch it during market hours. Keeping it running is your job.
- You are responsible for your account type, margin status, options approval level and any trading rules that apply to you (for example, intraday margin rules). We do not check whether your rules suit your account.
9. Backtests, paper trading and acceptance
Backtest. We run your Rules Spec over past data on your machine and give you a report. Every assumption is stated in the report. A backtest is a record of what the rules would have done under those assumptions. It is not a forecast. Options history is approximate when the data does not include expired contracts.
Paper Acceptance. Before going live, the Bot runs for at least 5 market sessions on your Paper account. Acceptance means the Bot's trades in those sessions match your Rules Spec rule by rule. We also run a set of fault drills (for example: stop the program, restart during a position, drop the connection, hit a loss limit, close everything at the end of the day).
Acceptance does not mean the Bot made money, and it does not mean your rules are good. It only means the software does what you wrote.
If a session does not match the Rules Spec because of a mistake in our code, we fix it and the count restarts for the affected rules. If you tell us in writing that you accept, or you do not give us a written objection within 5 business days after the fifth matching session, Paper Acceptance has passed.
10. Handover and going live
At Handover you switch the Bot from the Paper account to your live account by typing your own account number into the Bot yourself. Going live is your decision. Everything in the Bot's safety limits (such as a maximum order size or a daily loss limit) comes from your Rules Spec or from numbers you type. We do not choose them for you.
11. Payment
You pay the full price for the build when you order, through Whop. The price shown at checkout is the price for the build you chose. Whop's terms also apply to the payment. Taxes are extra where the law requires.
12. Refunds
- Before you sign the Rules Spec: you can cancel for any reason and we refund the full amount.
- After you sign the Rules Spec: we refund part of the amount. The part depends on how much work is done, by the steps set out in our Return and Refund Policy (Rules Spec signed, Strategy Module built, backtest delivered, installed and paper trading started). Work already done is kept by us.
- After Paper Acceptance has passed: no refund.
- If we cannot build your Rules Spec (for example, your broker does not allow what it needs), we refund the full amount.
- If you ask for advice, ask us to use Discord signals or our own settings, or share your Broker login, we may stop work. We refund under step 1 or 2, whichever applies when we stop.
- A refund is paid through Whop to the original payment method.
- Please email us before you dispute a payment with your bank.
13. Bug fixes for 30 days
For 30 days after Handover, we fix, free of charge, any case where the Bot or Engine does not do what the signed Rules Spec says. This does not cover:
- a change to your rules, tickers, sizes or limits (see section 14);
- problems caused by your computer, your internet, your Broker, your data provider or anything else outside our software;
- changes you made yourself to the code or the settings;
- Interactive Brokers or software-library updates (these are covered only by the optional maintenance plan).
14. Changes and extra work
Rule changes after Handover, a new ticker, a new instrument, or any other change to the Rules Spec is paid extra, at the price shown on the checkout page. The new rules must be exact, written by you and signed as a new version of the Rules Spec. We do not suggest the new rules.
15. Optional maintenance
The monthly maintenance plan is separate and is covered by the Maintenance Plan Terms. It covers software support only. Buying a build does not oblige you to buy it.
16. Who owns what
- You own your Rules Spec and your Strategy Module (the code we write to carry out your rules). You may keep, change and use them for yourself.
- We own the Engine, our templates, our tools and our know-how. We license the Engine to you under the Engine Software License: non-exclusive, non-transferable, no resale, for your own accounts only.
- You may not sell, rent, share or give away the Engine, or use it for anyone else's money.
- We may reuse general building blocks and ideas that are not specific to your strategy. We do not reuse your Rules Spec or your Strategy Module for anyone else.
17. Keeping your strategy private
We keep your Rules Spec, your Strategy Module, your backtest results and your intake answers private. We use them only to do your build and your support. We do not publish them, sell them or show them to others. We never publish your results or anyone's results in our marketing.
Some of our code-writing tools use AI. Your Rules Spec text may be processed by such a tool while we write your code. We never put your Broker login, account number or security codes into any such tool, because we never have them.
Our Privacy Policy explains how we handle your information.
18. Market data
Interactive Brokers sells market data. For live trading, you buy the data subscriptions your rules need, in your own name, and you follow the data provider's rules. We will never let you use data or keys that belong to us. We use for your backtests only data you are allowed to use, such as history from your own Broker account or from a data vendor you pay and give us access to. The Bot refuses to trade on delayed data.
If you choose to use your own Massive (Polygon) account as the data source, you license it yourself, in your own name. You keep the key on your own machine and never send it to us. You are responsible for using it within Massive's terms, including their rules on sharing data and keys.
19. The license check
The Engine checks, from time to time, that your license is valid. The check is built to fail open. A license problem, a lost connection to our license server or a stopped license server:
- never cancels a stop or another order you have at your Broker;
- never blocks an exit or the closing of a position;
- never stops a trading day that is already running.
If your license is ended, or cannot be checked, the only thing that can happen is that a fresh start is blocked while the Bot is flat (holding nothing), and only after a grace period of 14 days.
20. No guarantee of results
We do not guarantee any result. Trading, and options trading in particular, can lose all of the money in a trade and, with some strategies, more. Software can be late, wrong or stopped. You read and accept the Automated Trading Risk Disclosure before you buy. Paper results and backtests do not predict live results.
The software and our services are provided "as is", except for the bug fixes in section 13. As far as the law allows, we make no other promises, including that the Bot will be uninterrupted, error-free, profitable or suitable for you.
21. Limits on our liability
As far as the law allows:
- We are not responsible for trading losses, lost profits, lost data, or indirect, incidental, special or consequential damages. Every trade the Bot places is your trade.
- Our total liability for any claim about the build is limited to the amount you paid us for the build.
- Our total liability for any claim about maintenance is limited to the maintenance fees you paid us in the 3 months before the claim.
22. Your responsibility to us
If you break this agreement or the law, and that leads to a claim against us, you agree to cover our reasonable costs, including legal fees.
23. Ending this agreement
You can stop the build before Paper Acceptance passes by telling us; section 12 says what you get back. We may end this agreement and the Engine license right away if you share your Broker login, use the Engine for other people's money or resell it, or break the Engine Software License. If we end it for these reasons, there is no refund. If we end it for any other reason, we refund under section 12.
24. Law and disputes
Wyoming law governs this agreement, without regard to its conflict of law rules. If you have a problem, please email us first. If we cannot resolve it within 30 days, either of us may take it to the state or federal courts in Laramie County, Wyoming, and we both agree to those courts. Either of us may also use small claims court where it qualifies. This is the same as our Terms of Service.
25. The rest
- This agreement, the Rules Spec, the Engine Software License, the Automated Trading Risk Disclosure and the Maintenance Plan Terms (if you buy it) are the whole deal between us for the build. If they conflict with our Terms of Service, this agreement wins for the build.
- We may update this agreement for future buyers. The version you accepted at checkout is the one that applies to you.
- If any part cannot be enforced, the rest still applies.
- You cannot transfer this agreement. We can, if our business is sold or reorganized.
